Glossary

For the purposes of these regulations, the following definitions shall apply:

  • ADDRESSEE – the person designated by the Service Recipient as competent to receive the Product.
  • PERSONAL DATA — information entered by the User, collected by the Service Provider during the Registration of the User’s Account by the Website for the purpose of using the Website and constituting personal data within the meaning of the Regulation of the European Parliament and of the Council (EU) 2016/679 of April 27, 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation),
  • CIVIL CODE – Civil Code Act of April 23, 1964 (Journal  of Laws of 1964, No. 16 item 93, as amended).
  • CONSUMER — a natural person who, in accordance with Article 22(1) of the Civil Code, makes a legal transaction with an entrepreneur that is not directly related to his/her business or professional activity.
  • ORDER CART — an IT program provided by the Seller at https://sklep.wojdak.pl, which allows placing an Order. 
  • BUYER — a consumer, legal entity or other organizational unit without legal personality who enters into a sales contract in the Online Store https://sklep.wojdak.pl; 
  • USER ACCOUNT — means a separate place in the Website’s ICT System where information (data) about the User to whom the User Account belongs is collected, and providing the possibility of using the services provided by the Website.
  • PRODUCT — any service offered for sale in Wojdak Online Store 
  • ENTREPRENEUR — an individual, legal entity, organizational unit without legal personality, which, in accordance with Article 43(1) of the Civil Code, conducts business or professional activities on its own behalf in connection with legal actions, the scope of which includes the content of these Terms and Conditions.
  • REGISTRATION — shall mean the action of providing the User with his/her data and making the acceptance necessary to establish a User Account on the Website.
  • TERMS AND CONDITIONS — shall mean this document.
  • STATUTORY GUARANTEE — a course of pursuing liability by a Consumer or a natural person concluding a contract directly related to his/her business activity, when it follows from the content of this contract that it is not of a professional nature for this person, arising in particular from the subject of his/her business activity, in connection with a disclosed physical defect (non-compliance with the contract) or legal defect of the purchased Product, defined in the provisions of the Civil Code.
  • INTERNET STORE — shall mean the sales site for Products on https://sklep.wojdak.pl
  • SELLER — the entrepreneur running an online store covered by these terms and conditions, i.e. Wojdak sp. z o.o. based at ul. Hauke Bosaka 11, 25-217 Kielce, NIP 657-11-45-166, KRS 0000160931.
  • DIGITAL CONTENT — data produced and delivered in digital form.
  • SALE AGREEMENT — an agreement by which the Seller/Entrepreneur undertakes to transfer ownership of an item (Product) to the Buyer and deliver the item to the Buyer, and the Buyer undertakes to receive the item (Product) and pay the price to the Seller.
  • REMOTE CONTRACT — a Sales Contract concluded between the Seller (Entrepreneur) and the Buyer (Consumer or Entrepreneur on consumer rights) concluded without the simultaneous physical presence of the parties to the contract, by means of one or more means of distance communication up to and including the conclusion of the contract. 
  • SERVICE RECIPIENT — a natural person, a legal person or an organizational unit without legal personality, who uses the service provided by the Service Provider electronically; the Service Recipient may be a Buyer at the same time.
  • SERVICE PROVIDER — the entrepreneur running the online store covered by these Terms and Conditions, i.e. Wojdak sp. z o.o. based at ul. Hauke Bosaka 11, 25-217 Kielce, NIP 657-11-45-166, KRS 0000160931.
  • The Service Provider may also be the Seller.
  • ORDER — a declaration of will of the Buyer or whose purpose is to conclude a contract of sale of a Product, by indicating the Product, its type and number. 

§ 1.

General Provisions

  1. The Terms and Conditions define the rules for the use of the store https://sklep.wojdak.pl operated by Wojdak sp. z o.o. in the framework of remote sales of Products, as well as for the use of the online store by service recipients, placing Orders for Products, paying the selling price of Products, the Buyer’s rights to withdraw from the contract and the rules for filing and processing complaints, as well as the manner of returning Products.
  2. Each Buyer using the services offered by the Store, shall be obligated to comply with the provisions of these Terms and Conditions.
  3. Acceptance of the Terms and Conditions is expressed by checking the mandatory box and constitutes a form of a Remote Contract
  4. In order to browse the Online Store and place orders for the offered Products, a computer or another electronic device (e.g. smartphone or tablet) with access to the Internet and a web browser such as Internet Explorer, Google Chrome, Mozilla Firefox in the most current version, and an active electronic mail (e-mail) account are required. If the Buyer uses special applications that interfere with the functioning of websites, including the Online Store, such as ad-blocking applications, this may affect the functioning of the Online Store and prevent its use. 
  5. The Service Provider uses cookies to collect information related to the use of the Online Store by the Service Recipient in order to maintain the session of the logged-in Service Recipient, to keep statistics on the viewing of the subpages of the Online Store and profiling for customization of Products to the Service Recipient’s liking. The Service Recipient may at any time delete the placed cookies or block the placement of cookies using the options available in his/her web browser. 
  6. In the event that necessary maintenance work is carried out on the Online Store’s ICT System, which may cause difficulties or prevent the Buyer from using the services offered by the Online Store, the estimated (approximate) date of such work and the expected duration of such work will be published on the Online Store’s website each time.
  7. The Seller shall implement access to information about changes in the manner and scope of provision of services provided by the Seller, as well as threats to the provision of such services, through the website of the Online Store.
  8. Agreeing to abide by the Terms and Conditions before using the services offered by the Store, is tantamount to full acceptance of the Terms and Conditions by the Buyer, without the need for a separate contract.

§ 2. 

Terms of sale and order placement

  1. Information about the Products available in the Store’s assortment constitutes an invitation to conclude a Sales Contract within the meaning of Article 71 of the Civil Code.
  2. The subject of sale includes all Products included in the assortment of the Online Store. 
  3. All prices of Products in the Online Store are given in Polish zloty (PLN) and are gross prices, i.e. they include taxes, including value added tax (VAT).
  4. The total cost of the Order is indicated in the shopping cart before the Buyer places the Order. 
  5. The purchase can be made both with and without a User Account.
  6. In order for the sales contract to be concluded, one must:
  • place an Order online, i.e. on the website of the Online Store, through the order cart — the button ,”add to cart”;
  • select the type of person placing the order (natural or legal person)
  • enter the data of the Addressee indicated in the order form;
  • select the delivery method and payment method;
  • confirm that the Buyer has read and accepts the Terms and Conditions, and that they are aware that Orders placed on the Online Store website are subject to payment. Acceptance of the Terms and Conditions is done by checking the mandatory box.  
  • confirm that they are aware that their order entails an obligation to make payment by activating the ,,Purchase and Pay” button in the last step of the order cart;
  • confirm the Order with the button: “Purchase and Pay“;
  • pay for the Order using one of the available payment methods. Orders placed in the Store can only be paid in advance.
  1. The Seller will issue a VAT invoice after the service has been performed. If you request an invoice, it is necessary to complete additional information to the order form, i.e. your name, address, and VAT or PESEL number.
  2. If the User chooses an invoice as a method of confirming the execution of an order, placing an order by the User and accepting these Terms and Conditions is tantamount to agreeing to receive VAT invoices, pro-forma invoices and correction invoices by the User, as well as (if necessary) duplicates of the above-mentioned invoices — exclusively by electronic means.
  3. The Seller each time on the Site informs about the lowest price of the Product from the last 30 days.
  4. Issuance of the ordered Product shall take place promptly after crediting the proof of payment within 2 to 14 working days, but no later than 30 days from the date of conclusion of the Agreement.

§ 3.

User Account Registration

  1. Registration in the system and creation of a User Account is carried out by properly completing the registration form located on the Store’s website by clicking on the “Login/Registration” button and then the “Registration” button and providing the following Personal Data:
  • User’s first and last name, 
  • email address,  
  • name of the User who is an entrepreneur. 
  1. In order to register an Account in the Store, the User is required to indicate a unique login in the form of an e-mail address and a password protecting it. The password must consist of at least 12 characters including at least one lowercase and uppercase letter, a number and a special character. 
  2. After completing and submitting the registration form to the Seller, the User will receive, at the email indicated in the registration form, a link confirming the creation of an account. 
  3. Registration is considered completed when the User confirms the fact of registration by clicking on the link included in the email sent from the Seller’s website to the User referred to in Section 3 above.
  4. Registration in the Store requires confirmation of reading and accepting the Terms and Conditions by checking the appropriate box at the bottom of the registration form. A person who does not agree with the content of the Terms and Conditions should not register.

§ 4.

Complaints and Seller’s Statutory Guarantee

  1. The Seller shall be liable to the Consumer for the compliance of the Product with the concluded Sales Agreement, to the extent specified in the Civil Code and the Consumer Rights Act, i.e. 2 years.
  2. If the Product is found to be inconsistent with the contract during the implementation of the service by the Seller, the Consumer shall be obligated to immediately notify the Seller of the situation. Otherwise, the Seller has the right to refuse the additional service or demand an additional fee in accordance with the service price list provided. 
  3. For submission of notices of non-conformity of the purchased Product with the received Product before its use, the Consumer may use the template attached to the Terms and Conditions. The Consumer may submit any other unambiguous notice, where at least the following is indicated: name, surname and address of the complainant, definition of the claimed Product, to the extent that is appropriate for its type (e.g. name, color, size), proof of purchase of the claimed Product, description of the Product’s non-conformity and the date on which the defect was noticed, and, if applicable, the circumstances justifying the complaint, the complainant’s demand, the date of filing the complaint, signature of the complainant.
  4. The Seller shall consider the submitted Complaint within 14 days from the date of its receipt.
  5. Regardless of the conduct of the complaint procedure, the Consumer has the right to access out-of-court procedures for handling complaints and remedies.
  6. If the Seller:
    • refused to repair or replace the Product,
    • failed to repair or replace the Product,
    • tried to repair or replace, but the Product still does not conform to the Contract,
    • has stated that they will not repair or replace the Product within a reasonable time or without undue inconvenience to the Consumer,
    • then the Consumer has the right to demand a price reduction or, in the case of material non-conformity with the Agreement, to withdraw from the Agreement. If the lack of conformity with the Contract is material, the Consumer may demand a price reduction or withdraw from the Contract, without first exercising the right to demand repair or replacement. The reduced price shall remain in such proportion to the price under the Contract as the value of the non-conforming Product remains to the value of the conforming Product. The Seller shall return to the Consumer the amounts due as a result of exercising the right to reduce the price immediately, no later than within 14 days from the date of receipt of the Consumer’s statement on price reduction.
  7. If the Seller does not acknowledge the complaint, and the Consumer does not agree with the Seller’s decision, they may ask for mediation or settlement in an arbitration court. 
  8. The Consumer shall not bear any costs related to the Complaint of a Product not in conformity with the Contract. When submitting a Complaint, they shall make the Product subject to repair or replacement available to the Seller. The Seller shall be obligated to take back the Product at their own expense, and shall bear the cost of repair or replacement, including, in particular, the cost of postage, transportation, labor and materials. In the event of withdrawal from the Contract, the Consumer shall return the Product to the Seller at the Seller’s expense.

§ 5.

Return of the Product, exercise of the right of withdrawal and its limitations

  1. The Consumer has the right to withdraw from the Remote Contract for a period of 14 (fourteen) days without giving reasons.
  2. The time limit begins to run from the date on which the Consumer or a third party designated by the Consumer took physical possession of the Products.
  3. The Consumer shall be obligated to inform the Entrepreneur, within the period of the withdrawal period, of their decision in this regard. 
  4. The Consumer’s statement does not require a special form. For this purpose, it is sufficient to use the model withdrawal form set forth in Appendix 1 to the Terms and Conditions or to make a statement that is clear in its content. The deadline for withdrawal is considered to have been met when the Consumer has sent a statement on the exercise of the right of withdrawal before the expiration of the deadline. 
  5. The Seller shall repair or replace within a reasonable time from the moment they were informed by the Consumer of the lack of conformity with the Agreement and without undue inconvenience to the Consumer, taking into account the specificity of the Product and the purpose for which the Consumer purchased it. The cost of repair or replacement shall be borne by the Seller, including in particular the cost of postage, transportation, labor and materials. The choice between replacement and repair is up to the Consumer. However, if the fulfillment of the Consumer’s request is impossible or would require excessive costs for the Seller, they may:
    • Replace the Product – instead of repairing it,
    • Repair the Product – instead of replacing it.
    • If both repair and replacement are impossible or would require excessive costs, the Seller may refuse to bring the Product into conformity with the Contract. In assessing the excessiveness of the costs for the Seller, all the circumstances of the case are taken into account, in particular the significance of the non-conformity of the product with the contract, the value of the product in conformity with the contract and the excessive inconvenience to the consumer caused by the change in the manner of bringing the goods into conformity with the contract.
  6. In the event of withdrawal from the Contract, the Seller shall return, without undue delay, the amount for the Products received as payment from the Consumer, but no later than within 14 days, calculated from the day on which they were informed of the Consumer’s decision to withdraw from the Contract. 
  7. The Seller shall return the payment using the same method of payment, unless the latter has expressly agreed to a different method of return that does not incur any costs for them.

§ 6.

The legal basis for the processing of your personal data is Article 6(1)(B) and (F) of the GDPR, i.e. the pursuit of the conclusion and execution of the order placed, as well as within the framework of the controller’s legitimate interest in informing you about new Products and services, the investigation or defense against claims, in particular in the scope of possible complaint proceedings.

Furthermore, please be advised that you have a number of rights under the GDPR, including the right to object.

§ 7.

Final provisions

  1. In matters not regulated in the Terms and Conditions, the provisions of Polish law, including the Civil Code and the provisions of the Consumer Rights Act of May 30, 2014 shall apply. (Journal of Laws of 2014, item 827) and the Law on Provision of Electronic Services of July 18, 2002 (Journal of Laws of 2002, No. 144 item 1204).
  2. All the names of the Products on the website of the Online Store https://wojdak.pl/ are used for identification purposes and may be protected and reserved under the provisions of the Industrial Property Law (Journal of Laws No. 119 of 2003, item 1117).
  3. Photos on the website are for reference, which does not affect the characteristics of the ordered Product.
  4. The Terms and Conditions of the Online Store are made available free of charge, at any time, through the activation link provided on the home page of the Online Store and in the order cart (before concluding a contract). It is possible to make a printout of it or save it as a file.
  5. The seller reserves the right to amend the Terms and Conditions. The amendment does not affect the rights of persons who placed an order or concluded a sales contract before the amendments to the regulations. 
  6. The Terms and Conditions shall enter into force on 15.12.2023.
